Vendor Terms & Seller Agreement

Effective date: 15 September 2026 · Version 2026-09-15

This Vendor Terms & Seller Agreement ("Agreement") governs the relationship between PlugAfrika ("PlugAfrika", "the Platform") and any person or business that registers to sell on the Platform ("Vendor", "you"). By ticking the acceptance box at vendor sign-up you agree to be bound by this Agreement, our Terms of Use and our Regulated & Consumable Products Policy. A signed copy prefilled with your business details is available to download from your vendor profile.

1. Relationship of the parties

You participate on the Platform entirely of your own free will and volition, as an independent business acting on your own account and at your own risk. PlugAfrika provides only the marketplace venue and supporting technology; PlugAfrika is not your partner, employer, agent, joint venturer, distributor or the seller of your goods. The contract of sale for every product is between you and the Buyer; PlugAfrika is not a party to it. Nothing in this Agreement creates an employment, agency or partnership relationship.

2. Your compliance and licensing responsibility

You are solely responsible, at your own cost, for complying with all laws applicable to your business and products, and for holding and maintaining every licence, registration, permit, approval and certification required to lawfully manufacture, import, store, market and sell your products in South Africa. This includes, without limitation, the Consumer Protection Act 68 of 2008, the Electronic Communications and Transactions Act 25 of 2002, the Foodstuffs, Cosmetics and Disinfectants Act 54 of 1972 and its regulations, the Medicines and Related Substances Act 101 of 1965 and SAHPRA requirements, the Hazardous Substances Act 15 of 1973, the Counterfeit Goods Act 37 of 1997, POPIA and applicable tax laws. You must comply with our Regulated & Consumable Products Policy.

3. Product safety, listings and claims

You warrant that your products are safe, genuine, lawful, accurately described and correctly labelled, that you have the right to sell them, and that your listings, images, ingredients and claims are true and not misleading. You will not make prohibited medicinal or therapeutic claims and will honour recalls.

4. Orders, commission, payments and payouts

PlugAfrika facilitates checkout and holds order funds in escrow, releasing your net proceeds (after the applicable commission, fees and any deductions such as refunds, penalties or return-delivery charges) to your verified bank account on the platform payout cycle. You are responsible for fulfilling accepted orders promptly and for your own tax obligations, including VAT where applicable.

5. Returns, refunds and disputes

You will handle returns, refunds, defects and warranty claims in accordance with the CPA and the Platform's returns and dispute processes. Where a dispute is resolved in the Buyer's favour, the held funds may be refunded to the Buyer; where resolved in your favour, held funds are released to you.

6. Indemnity

You indemnify and hold harmless PlugAfrika, its directors, employees, agents and partners against any and all claims, demands, damages, losses, injury, death, illness, adverse reactions, hospitalisation, fines, penalties, legal costs and expenses of any nature whatsoever arising out of or in connection with your products, your listings, your acts or omissions, your breach of this Agreement or of any law, or your failure to hold a required licence or approval. This indemnity survives termination.

7. Limitation of PlugAfrika's liability

To the maximum extent permitted by law, PlugAfrika is not liable to you for any indirect, incidental, special or consequential loss, loss of profit or goodwill, and its total aggregate liability to you under this Agreement is limited to the commission actually earned by PlugAfrika on the transaction giving rise to the claim. PlugAfrika does not guarantee sales volumes or uninterrupted availability of the Platform.

8. Intellectual property and counterfeit goods

You must own or be licensed to use all intellectual property in your products and listings, and must not sell counterfeit, infringing or grey goods. You grant PlugAfrika a licence to display your listing content for the purpose of operating and marketing the Platform.

9. Data protection

You will process any personal information you obtain through the Platform (such as Buyer delivery details) only to fulfil orders, and in accordance with POPIA.

10. Suspension and termination

PlugAfrika may remove listings, withhold payouts pending investigation, and suspend or terminate your account for breach of this Agreement, unlawful activity, unsafe products or risk to Buyers or the Platform. You may stop selling and close your account at any time, subject to fulfilling outstanding orders and obligations.

11. Governing law

This Agreement is governed by the laws of the Republic of South Africa and is subject to the non-exclusive jurisdiction of the South African courts.

12. Acceptance

By registering as a Vendor and ticking the acceptance box, you confirm that you have read, understood and agree to this Agreement, and that you are authorised to bind the business you register. Your electronic acceptance is recorded with the date and version and has the same effect as a signature under ECTA.
